Terms of Service

Effective April 2026

1. Acceptance

These terms form a binding contract between you (either an individual or the legal entity you represent, the "Customer") and Juniper Enterprises Holdings Limited ("Juniper", "we", "us"), a company registered in England and Wales.

By creating an account, accessing the Juniper OS platform at juniperos.co.uk, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these terms. If you do not agree, do not use the Services.

If you are accepting these terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Service description

Juniper OS is an AI-powered business operating system. It provides a workspace, automations and software agents that help you run your business. The Services are intended as a business support tool, not as regulated professional advice of any kind.

Nothing produced by Juniper OS — including answers from the cofounder agent and the functional agents, generated documents, summaries, or suggested actions — constitutes legal, accounting, tax, medical, financial, investment, regulatory or other professional advice. Customers must independently verify any output before relying on it and should consult qualified professionals where the matter requires it.

Juniper OS is not authorised or regulated by the Financial Conduct Authority, the Solicitors Regulation Authority, the Institute of Chartered Accountants, or any equivalent body.

3. Account responsibilities

To use the Services you must:

  • Provide accurate and complete registration information and keep it up to date.
  • Be at least 18 years old and legally able to enter a binding contract.
  • Keep your credentials secure. You are responsible for all activity under your account, including any agents you activate and any actions they take within the authority levels you grant them.
  • Notify us immediately at legal@juniperenterprises.co.uk if you suspect unauthorised access.
  • Comply with all laws and regulations applicable to you and your business, including data protection, employment, tax and financial-services rules.

4. Subscription and billing

Juniper OS is offered on a monthly subscription basis. Plans and current prices are published at juniperos.co.uk/#pricing and may be updated from time to time.

  • Free trial. Every new subscription includes a 14-day free trial. You will not be charged during the trial period and can cancel at any time.
  • Renewal. Subscriptions renew automatically each month on the same day until you cancel.
  • Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; no refunds are given for partial months.
  • Price changes. We may change pricing on at least 30 days' notice, delivered by email or in-dashboard. Price changes take effect at the next renewal and you may cancel before they do.
  • Taxes. Prices are exclusive of VAT and other applicable taxes, which will be added where required.
  • Payment failure. If payment fails we may suspend your access after a reasonable grace period and retry collection before cancelling.

4a. Authority grants

Juniper OS does not act on your behalf by default. Before the cofounder agent or any of the functional agents can take action beyond reading and drafting, you must actively accept an Authority Grant from within the platform at /dashboard/authority.

Three tiers are currently offered:

  • Full co-founder — Juniper OS may act on your behalf within the non-overridable rails below. Suitable for operators who want the platform to work overnight.
  • Close partner — Juniper OS drafts everything and queues every action for your explicit approval. Nothing leaves the building until you tap.
  • Advisor — Juniper OS observes and advises only. It never sends, writes or commits.

Each tier is a distinct legal document that you actively accept before it takes effect. Accepting a new tier records an immutable entry in our audit log and is governed by the same rules as the AI acknowledgement in Section 5. The non-overridable safety rails described in that grant apply to every tier and cannot be weakened by your choice.

5. AI disclaimers

Juniper OS is built on large language models. You acknowledge and accept the following:

  • Not human. Juniper OS and the specialist agents are software. They do not think, feel, or understand in the way a human does.
  • Can make mistakes. AI outputs can be wrong, incomplete, out-of-date or fabricated. You must review important outputs before acting on them.
  • Not professional advice. See Section 2. Nothing Juniper OS produces is a substitute for a qualified professional.
  • You retain liability. You remain responsible and liable for every decision you or your team take based on information provided by Juniper OS, including any action taken autonomously by an agent operating within the authority levels you configured.
  • Authority levels. You control the autonomy level of every agent. Financial commitments above your configured threshold, deletions, new integrations and team permission changes always require your explicit approval and cannot be overridden.

6. Data ownership

You own your business data. We do not claim any intellectual property rights in the content you upload, the conversations you have with agents, or the artifacts those conversations produce on your behalf.

You grant Juniper a limited, worldwide, royalty-free licence to process your data solely to operate the Services and to provide them to you. We do not sell your data and we do not use your business data to train third-party foundation models. See our Privacy Policy.

You may export your data at any time from your account settings or by contacting legal@juniperenterprises.co.uk.

7. Acceptable use

When using Juniper OS you must not:

  • Break any law or regulation, or help anyone else to do so.
  • Upload, share or generate content that is unlawful, defamatory, infringing, harassing, hateful, or sexually explicit involving minors.
  • Attempt to reverse-engineer, scrape, or extract the underlying models, prompts, agent architecture or source code of Juniper OS.
  • Use the Services to build a competing product, or to generate training data for a competing model.
  • Circumvent rate limits, authority levels, audit logging, or any other safety control.
  • Use the Services to make decisions that legally require a regulated human professional (licensed legal advice, clinical diagnosis, regulated financial advice, etc.).
  • Interfere with or disrupt the integrity or performance of the Services or anyone else's use of them.

We may suspend or terminate accounts that breach these rules, with or without notice, depending on the severity.

8. Limitation of liability

To the maximum extent permitted by law, and except for liability that cannot be lawfully excluded (such as death or personal injury caused by negligence, or fraud):

  • Juniper's total aggregate liability arising out of or in connection with these terms or your use of the Services — whether in contract, tort (including negligence), or otherwise — is capped at the total fees you paid to Juniper in the 12 months immediately preceding the event giving rise to the claim.
  • Juniper is not liable for any indirect, consequential, incidental, special, or punitive damages, nor for loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, even if we had been advised of the possibility.
  • The Services are provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties not expressly stated in these terms, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Indemnity

You agree to indemnify and hold Juniper harmless from any third-party claim arising out of (a) your breach of these terms, (b) your unlawful use of the Services, or (c) your violation of any third-party rights, including intellectual property or privacy rights.

10. Termination

Either party may terminate these terms at any time. You may cancel from your account settings. We may terminate or suspend your account for breach of these terms, for non-payment, or where continued operation would violate law.

On termination your subscription ends at the end of the current billing period. After termination we will make a complete export of your data available for download for 30 days. After that window, your data will be permanently deleted except where we are required by law to retain specific records (such as immutable audit logs and consent records).

11. Changes to these terms

We may update these terms from time to time. Material changes will be announced in the dashboard and, where appropriate, by email at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the new terms. If you do not accept them you must stop using the Services and cancel your subscription.

12. Governing law and disputes

These terms and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales. Each party submits to the exclusive jurisdiction of the courts of England and Wales.

13. Miscellaneous

  • Entire agreement. These terms, together with our Privacy Policy and any order form or plan you have signed up to, form the entire agreement between you and Juniper.
  • Assignment. You may not assign these terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of substantially all our assets.
  • Severability. If any provision is held unenforceable, the remainder of these terms will continue in full force and effect.
  • No waiver. Our failure to enforce a right is not a waiver of it.
  • No third-party beneficiaries. The Contracts (Rights of Third Parties) Act 1999 does not apply to these terms.
